Terms of Service

These terms govern your access to and use of Nidaa Voice-as-a-Service, developer APIs, telephony gateways, and applications.

Consent-First Calling

You warrant that all phone numbers you call have provided prior legal opt-in or contractual consent.

Zero Tolerance for Spam

Robocall harassment, deceptive spoofing, and unlawful telemarketing result in immediate termination.

Transparent Telephony Billing

Clear accounting for platform subscriptions and metered telecom minutes without hidden surcharges.

Your Content, Your Data

You retain complete proprietary ownership over your customer lists, uploaded ledgers, and contact databases.

1. Agreement to Terms and Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement entered into between you (either individually or on behalf of an entity, "Customer", "Client", or "you") and Nidaa Technologies ("Nidaa", "we", "us", or "our"), governing your access to and utilization of the nidaa.io website, web console, mobile applications, REST APIs, and SIP voice telecommunications infrastructure (collectively, the "Platform" or "Services").

By creating an account, consuming our API endpoints, or launching a voice campaign, you confirm that you are at least 18 years of age, legally competent, and authorized to bind your business organization to these Terms. If you do not accept these Terms in full, you must not access or use the Platform.

2. Scope of Services Provided

Nidaa delivers an enterprise Voice-as-a-Service (VaaS) platform comprising the following core capabilities:

- Automated Outbound Notifications: Programmatic dispatch of voice alerts for appointment reminders, maintenance notices, logistics delivery warnings, and emergency notifications.

- Interactive Voice Response (IVR) & Conversational Agents: Automated dual-tone multi-frequency (DTMF) and conversational voice verification, including Cash on Delivery (COD) order confirmations.

- Voice One-Time Passwords (OTPs): Multi-factor phone number verification calls and SMS fallback tokens.

- Multimodal Ledger OCR: AI-assisted digitization of paper appointment books and customer ledgers (كناش) into structured campaign lists.

- Developer Telephony APIs: REST APIs and webhooks for CRM integrations, real-time call tracking, and status callbacks.

3. Acceptable Use Policy (AUP) & Telecom Anti-Abuse

Telecommunications networks are strictly regulated public utilities. You agree to use Nidaa in rigorous compliance with all applicable local, national, and international communications laws, including regulations enacted by the Regulatory Authority of Post and Electronic Communications (ARPCE) in Algeria and international anti-robocall standards.

Under this Agreement, the following activities are STRICTLY FORBIDDEN and will trigger immediate account suspension and potential law enforcement referral:

Prohibited Practices

You must not utilize the Nidaa Platform for any of the following purposes:

  • Transmitting unsolicited marketing or spam calls to consumers who have not granted prior verifiable consent.
  • Spoofing or altering Caller ID headers to impersonate emergency services, financial institutions, government agencies, or any entity without authorization.
  • Initiating abusive, harassing, threatening, defamatory, or fraudulent calls.
  • Broadcasting unauthorized political propaganda, illegal gambling promotions, or deceptive financial schemes.
  • Generating synthetic voice audio intended to impersonate real persons without their explicit written consent (voice cloning fraud).
  • Attempting to flood telecommunications trunks, initiate denial-of-service (DoS) attacks, or disrupt public emergency numbers (e.g., police, fire, ambulance).

Mandatory Prior Opt-In Warranty

You explicitly warrant that you possess documented, verifiable consent or an existing commercial/contractual relationship with every phone number uploaded to Nidaa before initiating any call. You must honor opt-out requests immediately.

4. Account Credentials and API Security

You are solely responsible for maintaining the confidentiality of your Nidaa account credentials, multi-factor authentication tokens, and API secret keys.

Any action, campaign launch, or telephony expenditure initiated through your API keys or credentials shall be deemed executed by you. You agree to immediately notify contact@nidaa.io of any suspected security compromise or unauthorized API key exposure.

5. Customer Data, Content & Privacy Representation

Ownership: You retain all proprietary rights, title, and ownership in and to all contact lists, customer ledgers, voice prompt scripts, and recipient data uploaded to Nidaa ("Customer Data").

Limited License to Nidaa: You grant Nidaa a limited, worldwide, non-exclusive license to store, process, synthesize, and transmit Customer Data strictly as required to operate the Services and route telephone calls on your behalf.

Customer Privacy Warranty: You represent that your collection, storage, and transfer of Customer Data to Nidaa complies fully with Law 18-07, GDPR, and relevant privacy legislation. You agree to defend and hold harmless Nidaa against any regulatory penalty or third-party claim resulting from your failure to obtain required recipient permissions.

6. Subscriptions, Telecom Billing, and Payments

- Subscription Plans & Setup Fees: Recurring software platform fees are billed in advance on a monthly or annual basis. One-time setup and CRM onboarding fees are non-refundable once engineering work commences.

- Telecom Call Consumption: Voice call minutes and SMS/Voice OTPs are billed on a metered or prepaid credit basis. Calls are billed in increments defined in your plan (e.g., per 60-second block or per completed second).

- Non-Refundable Carrier Costs: Telecommunications carriers bill Nidaa as soon as an outbound SIP trunk connection is established. Consequently, minutes consumed on completed, answered, or busy calls are strictly non-refundable.

- Invoicing & Taxes: Prices are exclusive of value-added tax (VAT / TVA) or applicable government fees, which will be charged in accordance with local statutory tax rates.

7. Service Availability and Telecommunications Disclaimer

Nidaa strives to deliver an enterprise-grade cloud API availability SLA of 99.5% excluding scheduled maintenance.

However, telecommunications delivery inherently relies on physical public switched telephone networks (PSTN), regional mobile operators (Mobilis, Djezzy, Ooredoo), and ISP SIP fiber backbones. Nidaa cannot guarantee 100% call completion where failure results from recipient phone powering off, out-of-coverage areas, carrier trunk saturation, or upstream ISP fiber cuts beyond our direct control.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING UNINTERRUPTED AVAILABILITY OR ERROR-FREE VOICE SYNTHESIS.

8. Intellectual Property Rights

The Nidaa Platform, including its user interface, algorithms, audio variable stitching engines, API architecture, logos, trademarks, and documentation, are the sole and exclusive intellectual property of Nidaa Technologies.

You may not reverse-engineer, decompile, disassemble, scrape, copy, or redistribute any part of our platform or proprietary models without prior written consent.

9. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable law, in no event shall Nidaa, its directors, employees, or partners be liable for any indirect, consequential, exemplary, incidental, or punitive damages (including loss of profits, lost revenue, or business interruption) arising from your use of the Services.

Nidaa’s total aggregate liability for any claim under these Terms shall not exceed the total amount paid by you to Nidaa during the three (3) months immediately preceding the event giving rise to liability.

Indemnification: You agree to defend, indemnify, and hold harmless Nidaa from and against any claims, losses, liabilities, fines, or legal expenses arising out of: (i) your breach of these Terms or the Acceptable Use Policy; (ii) any voice call, recording, or message dispatched through your account; or (iii) any violation of third-party privacy or telecommunications laws.

10. Suspension and Termination

You may terminate your account at any time via the account settings menu or by notifying our support team.

Nidaa reserves the right to immediately suspend or terminate your access, without prior notice or liability, in the event of: (i) a material breach of these Terms or the AUP; (ii) a formal cease-and-desist request from a telecommunications regulator or judicial authority; (iii) suspicious or abnormal outbound traffic patterns indicative of toll fraud; or (iv) extended non-payment of outstanding invoices.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, without regard to its conflict of law principles. For international clients, commercial arbitration clauses under standard international rules may apply by mutual written agreement.

In the event of any controversy, the parties agree to seek an amicable settlement in good faith for a period of thirty (30) days before initiating formal judicial proceedings before the competent commercial courts of Algiers.
